Biography

Professor Marc I. Steinberg is Honorary Visiting Professor of Law. He also is the Rupert and Lillian Chair in Law and Professor of Law at the Southern Methodist University (SMU) School of Law.

Professor Steinberg's specialty areas include company law, corporate governance, and securities regulation. He has authored approximately 50 books (including four Oxford University Press books) and 150 law journal articles. His 2021 OUP book Rethinking Securities Law was awarded best law book of 2021 by American Book Fest and his 2025 OUP book Corporate Director and Officer Liability -- "Discretionaries" Not Fiduciaries was awarded best business book-reference of 2025 by American Book Fest. He has received appointments and lectured at several prominent law schools in addition to KCL, including the University of Cambridge, Oxford University, Heidelberg University, University of Hong Kong, National University of Singapore, University of Tokyo, University of Melbourne, Sydney University, University of Auckland, Tel Aviv University, University of Buenos Aires, University of Pennsylvania, and University of California, Los Angeles. Professor Steinberg is editor-in-chief of The International Lawyer and The Securities Regulation Law Journal.

Prior to becoming a full-time professor, Professor Steinberg was an attorney at the U.S. Securities and Exchange Commission (SEC), serving as an SEC enforcement attorney and thereafter as special projects counsel in the Commission's Office of General Counsel. He has served as an expert witness in several high profile cases. Professor Steinberg is a life member of The American Law Institute.

Research interests

Professor Steinberg writes extensively in the company and securities law areas. His books include monographs published by Oxford University Press, practitioner treatises, and law school texts. He has authored law school texts in several subjects within his area of expertise, including the widely used reference text Understanding Securities Law which is now in its eighth edition. Professor Steinberg's scholarship also encompasses attorneys' ethical obligations in this area, as seen by his law school text Lawyering and Ethics for the Business Attorney and his practitioner treatise Attorney Liability After Sarbanes-Oxley.

In addition, his approximate 150 law journal articles address a broad range of subjects within this area, including articles focusing on capital raising, corporate governance, securities litigation, Securities and Exchange Commission (SEC) enforcement, and attorney liability.
